Terms and Conditions for Access to Additional GRT Information

By submitting this request to access certain GRT information:

1. The User acknowledges that (a) the GRT products covered in the accessed information are not publicly offered or sold in any jurisdiction; (b) in certain jurisdictions where a GRT product is offered and sold, it only may be offered and sold to investors that meet certain qualifications; and (c) GRT and its representatives are relying solely on information that the User and the User’s representatives have provided to determine if information may be provided to the User.

2. The User represents that all information provided to GRT by User and User’s representatives is true and correct in all respects and does not contain any misstatement or omission of fact.

3. As to any GRT information accessed by the User, the User agrees (a) not to use the information other than to evaluate GRT investment strategies; (b) not to share any of the GRT information with, or disseminate any information to, any person other than the User’s employees, lawyers, accountants and financial advisers who will use the GRT information solely to evaluate GRT strategies for User and will keep the information confidential; (c) not to provide the GRT assigned user identification and password to any other persons; and (d) to contact us immediately if the User believe that an unauthorized person has obtained access to the User’s password.

4. The User agrees to indemnify and hold harmless GRT and its affiliates, directors, members, partners, shareholders, officers, employees and agents from and against any and all claims, losses, liabilities, damages, penalties, costs, fees and expenses (including legal fees and disbursements) which may result, directly or indirectly, from any inaccuracy in or breach of any representation or agreement set forth in this submission.

5. The User recognizes that non-public personal information concerning the User such as the User’s name, address, assets and financial information) (i) may be disclosed to GRT’s affiliates, attorneys, accountants and auditors in furtherance of GRT’s business and to other service providers, including marketing consultants, who may have a need for the Information in connection with providing services to GRT Capital’s investors and clients, and (ii) as otherwise required or permitted by law. GRT Capital restricts access to the information to their employees and service providers who need to know the information to provide services GRT Capital, and GRT Capital maintains physical, electronic and procedural safeguards to protect non-public personal information.
